This legal service agreement (“the Agreement”) is executed on 19th April 2012, by and between:

Hereinafter referred to as the “Party B”

WHEREAS:
- Party A wishes to use legal service of Party B for Party’s project in Vietnam.
- Party B agrees to provide Party A with the legal service for Party A’s project in Vietnam.
NOW, THEREFORE, it is agreed by the parties as follows:

Article 1: Purpose of the Agreement (Legal service agreement for residence card and work permit)
Party B shall render the legal service for Party A’s employees and their family to get resident card and work permit in Vietnam. The scope of works to be carried out by Party B under this Agreement shall be stated in detail in Article 3 of this Agreement.

Article 2: Responsibilities of Party A (Legal service agreement for residence card and work permit)
In addition to other responsibilities and obligations under this Agreement, Party A shall also be responsible for:
2.1 To provide all related information/document as requested by Party B for and in connection with the Implementation of this Agreement.
2.2 To pay the service fee as provided for in Article 4 of this Agreement.
 
Article 3: Responsibilities of Party B (Legal service agreement for residence card and work permit)
In addition to other responsibilities and obligations under this Agreement, Party B shall also be responsible for:
3.1 Preparing necessary legal documents for the application of one (1) work permit and four (4) residence card;

Article 4: Service Fee (Legal service agreement for residence card and work permit)
4.1 Party A shall pay service fee to Party B with total amount of US2,500 (The “Service Fee”). This Service Fee is not inclusive banking charge and official charges to the competent authorities of Vietnam incurred by Party B for and in connection with the implementation of this Agreement (if any).
4.2 The Service Fee shall be paid by Party A as follows:
a. Initial Fee: US$1,500
b. Balance Fee: US$1,000
4.3 The Initial Fee shall be paid within 3 working days from the signing date of this Agreement. Balance Fee shall be paid within 3 working days from the issuance date of  certificates of Representative Office to be established. The Service Fee may be paid in cash or by telegraphic transfer to Party B’s bank account.

Article 5: Disbursements (Legal service agreement for residence card and work permit)
5.1 All the expenses incurred in Korea/or Vietnam shall be paid to Party B by Party A regarding Party A’s works within 3 working days from the date of request by Party B.
  
Article 6: Confidentiality (Legal service agreement for residence card and work permit)
6.1 Unless having written consent of the other Party, each Party must keep confidential and not disclose to any other authority or individual about:
a. Content of this Agreement; and
b. Any information supplied by the other Party or staff of the other Party.
6.2 The provisions of this Article shall remain even after this Agreement is terminated.
6.3 Any infringement of this article by the parties shall be fined and dealt with in accordance with the corresponding regulations of Vietnam.

Article 7: Miscellaneous (Legal service agreement for residence card and work permit)
7.1 The parties agree that, all communications between the parties including but not limited to information, notices, enquiries, requests, advices, reports etc shall be made in written or other forms and sent to the addresses of the parties as first above mentioned except agreed otherwise between the parties.
7.2 Any amendment hereof must be in writing and signed by both parties.
7.3 The parties shall settle any dispute relating to this Agreement through amicable negotiation. Failing settlement in above manner, the parties shall refer the dispute to THE Economic Court of Ho Chi Minh City for final settlement.

This Agreement is made in 02 originals in English. One original shall be retained by each party, all the copies shall have the same legal validity and be effective from the date of signing.
